1. Introduction and Acceptance of Terms By accessing and using the services provided by Buzz Bull LLC, doing business as Buzz Bull Marketing Systems ("Buzz Bull," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any of these Terms, you are prohibited from using or accessing our services.
2. Description of Services Buzz Bull provides digital marketing, AI automation, and CRM services including but not limited to website design and development, search engine optimization (SEO), local SEO, Google Business Profile management, citation management, paid advertising management, social media management, marketing automations, AI voice and chat agents, review automation, CRM setup and optimization, and related consulting (collectively, the "Services"). The specific services included in your engagement are determined by your selected package and any add-on services agreed upon separately.
3. User Eligibility and Responsibilities You must be at least 18 years of age to use our Services. You are responsible for providing accurate and complete information during onboarding and throughout the engagement. You are responsible for maintaining the confidentiality of any account credentials provided to you. You agree to provide timely access to accounts, assets, approvals, and information reasonably required for Buzz Bull to perform the Services.
4. Client-Provided Content and Accuracy The Client is solely responsible for the accuracy, legality, and truthfulness of all information, claims, testimonials, images, and materials provided to Buzz Bull for use in websites, advertising, marketing materials, or any other deliverables. This includes but is not limited to business descriptions, service claims, licensing and certification details, pricing information, and customer testimonials. Buzz Bull is not obligated to independently verify Client-provided content and shall not be liable for any claims, penalties, or damages arising from inaccurate, misleading, or unlawful content supplied or approved by the Client.
5. Client Delays If the Client fails to provide timely approvals, account access, content, or other materials reasonably required for Buzz Bull to perform the Services, Buzz Bull shall not be liable for any resulting delays in deliverables or campaign performance. Continued delays exceeding 30 days may result in the suspension of active services until the required items are provided. Monthly service fees remain due during any suspension caused by Client delays.
6. Payment Terms and Billing a. Fees for Services may include one-time setup fees and recurring monthly retainers. All payments are processed through our third-party payment processor. b. Monthly services are billed on a recurring basis and due upon receipt of invoice. If payment is not received within 10 days of the due date, Buzz Bull reserves the right to pause or suspend all active services, including but not limited to website hosting, CRM access, AI tools, SEO deliverables, and advertising campaigns, until the balance is resolved. c. Buzz Bull reserves the right to adjust pricing with 30 days written notice. Any pricing changes take effect at the start of the next billing cycle following the notice period.
7. Cancellation This agreement operates on a month-to-month basis with no long-term contract required. Either party may cancel with 30 days written notice. Upon cancellation, the Client is responsible for any outstanding fees through the end of the current billing cycle.
8. 90-Day Money-Back Guarantee New clients are eligible for a 90-day money-back guarantee. If the Client is not satisfied with the Services, they may request a full refund of monthly service fees paid during the first 90 days of the engagement. To qualify, the Client must submit their refund request in writing within 90 days of the service start date. Refunds apply to monthly service fees only and do not include ad spend paid directly to advertising platforms. Setup fees that were waived as part of a promotional offer may be invoiced if the Client requests a refund under this guarantee.
9. No Guarantee of Results Buzz Bull will perform all Services using current industry best practices, but no specific outcomes are promised or guaranteed. This includes but is not limited to: lead volume, lead quality, phone call volume, website traffic, search engine rankings, ad performance, conversion rates, or revenue. Marketing and advertising performance is influenced by factors outside Buzz Bull's control including market conditions, seasonality, competitor activity, ad spend levels, platform algorithm changes, and consumer behavior. The Client acknowledges that purchasing Services does not constitute a guarantee of any increase in leads, customers, revenue, or business growth.
10. Website Hosting and Uptime Buzz Bull utilizes third-party hosting providers to host client websites. While we make reasonable efforts to ensure website availability, we do not guarantee uninterrupted or error-free access to any website. Buzz Bull is not liable for any loss of business, revenue, data, or opportunity resulting from website downtime, whether caused by hosting provider outages, server maintenance, security incidents, DNS propagation, platform updates, or any other cause. The Client acknowledges that temporary service interruptions may occur and that Buzz Bull's sole obligation is to take reasonable steps to restore service in a timely manner.
11. Data and Content Buzz Bull takes reasonable precautions to protect client data and website content but is not liable for data loss resulting from hosting failures, security breaches, platform malfunctions, or any other cause beyond our direct control. The Client is encouraged to maintain independent backups of critical business data. Buzz Bull is not responsible for the storage or preservation of client data following cancellation of services.
12. Intellectual Property and Ownership a. The Client's website, including all content, copy, images, and design elements, is the property of the Client. Upon cancellation and full payment of any outstanding balances, the Client retains full ownership of their website and all associated files. b. Proprietary systems, templates, automation workflows, CRM configurations, and software tools developed or licensed by Buzz Bull remain the intellectual property of Buzz Bull LLC. c. Third-party tools, plugins, themes, and platform subscriptions used in delivering the Services remain subject to the terms of their respective providers.
13. Post-Cancellation Upon cancellation and final payment of all outstanding balances: the Client retains full ownership of their website and all associated files; ad accounts remain the property of the Client and Buzz Bull will remove its access; CRM data export will be provided upon written request within 30 days of cancellation; AI tools, automations, and workflows built within Buzz Bull's proprietary platforms will be deactivated and are not transferable. Buzz Bull is not obligated to maintain, host, or support any services after the cancellation date.
14. AI Tools and Automation Disclaimers Buzz Bull's AI-powered services, including but not limited to AI chatbots, AI phone agents, and AI assistants, generate automated responses using artificial intelligence. While these tools are configured and monitored for quality, they may occasionally produce inaccurate, incomplete, or contextually inappropriate responses. Buzz Bull does not warrant the accuracy of AI-generated content and is not liable for any damages, losses, or claims arising from AI-generated communications made on behalf of the Client's business. The Client is responsible for reviewing and approving AI tool configurations and acknowledges the inherent limitations of AI-generated content.
15. Ad Platform Compliance The Client's website, business practices, and advertising content must comply with all applicable advertising platform policies, including but not limited to Google Ads, Meta (Facebook/Instagram), and Google Local Services Ads. Buzz Bull is not responsible for ad account suspensions, disapprovals, or restrictions imposed by advertising platforms due to violations related to the Client's business, website content, or industry category. Monthly management fees remain due during any period of platform-imposed suspension that is not caused by Buzz Bull. Buzz Bull will make reasonable efforts to assist with reinstatement but does not guarantee restoration of suspended accounts.
16. Third-Party Integrations Our Services may integrate with or rely upon third-party tools and platforms to deliver websites, CRM functionality, advertising, email, SMS, and other services. Buzz Bull is not responsible for the practices, policies, uptime, or performance of any third-party platform. Changes made by third-party providers to their terms, pricing, APIs, or functionality are outside Buzz Bull's control and may impact the delivery of Services.
17. Confidentiality Both parties agree to protect confidential information shared during the engagement. Neither party will disclose proprietary or sensitive business information to third parties except as required to perform the Services, with prior written consent, or as required by law.
18. Limitation of Liability In no event shall Buzz Bull LLC, its owners, officers, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of business, loss of data, or loss of opportunity, arising out of or related to the use or inability to use the Services. Buzz Bull's total liability for any claim arising under these Terms shall not exceed the total service fees (excluding ad spend) paid by the Client in the three months immediately preceding the event giving rise to the claim.
19. Indemnification The Client agrees to indemnify and hold harmless Buzz Bull LLC, its owners, officers, directors, employees, and contractors from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising out of or related to: the Client's use of the Services; the Client's breach of these Terms; content provided or approved by the Client; or any third-party claim related to the Client's business operations, advertising content, or marketing materials.
20. Independent Contractor Buzz Bull operates as an independent contractor. Nothing in these Terms shall be construed to create an employment relationship, partnership, joint venture, or agency relationship between Buzz Bull and the Client. Neither party has the authority to bind the other or incur obligations on behalf of the other party.
21. Force Majeure Neither party shall be liable for delays or failure to perform resulting from causes beyond their reasonable control, including but not limited to natural disasters, acts of government, internet or power outages, platform-wide service disruptions, pandemics, or other events that could not have been reasonably anticipated or prevented.
22. Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the State of Indiana. Any dispute arising under these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration or in a court of competent jurisdiction in Monroe County, Indiana.
23. Severability If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
24. Entire Agreement These Terms, together with any proposals, service agreements, or addenda signed by both parties, constitute the entire agreement between Buzz Bull and the Client and supersede all prior oral or written agreements, representations, or understandings relating to the subject matter of these Terms.
25. Modifications to Terms Buzz Bull may revise these Terms at any time. Material changes will be communicated to active clients with 30 days notice. Continued use of the Services following any modification constitutes acceptance of the updated Terms.
